Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the platform at athletes.appand related services (collectively, the “Service”) operated by Athletes App, LLC (“Athletes,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of a brand, organization, or agency, you represent that you are authorized to bind that entity to these Terms.

You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity that occurs under your account.

2. The Service

Athletes connects athletes and creators with brands to run sponsored campaigns. Through the Service, athletes can join campaigns, submit content, publish to connected social channels, and authorize partnership and spark-code ads; brands can create campaigns, review content, run advertising, and fund payouts. We may add, change, or remove features at any time.

3. Campaigns & agreements between users

Campaigns are agreements between brands and athletes. The brand sets the brief, compensation, and deliverables; the athlete chooses whether to participate. Athletes facilitates these arrangements and related payments but is not a party to the agreement between a brand and an athlete, and is not responsible for the conduct of either party.

Each participant is responsible for meeting their own obligations, including delivering agreed content, honoring authorizations, and complying with all applicable laws and platform rules.

4. Your content

You retain ownership of the content you create and upload (“Your Content”). By submitting Your Content, you grant Athletes a non-exclusive, worldwide license to host, store, display, and process it as needed to operate the Service, and you grant participating brands the rights agreed to in the applicable campaign (including the right to run authorized advertising).

You represent that you have all rights necessary to your Content and that it does not infringe any third-party rights or violate any law. You are responsible for required disclosures, including clearly identifying sponsored or paid content as required by the FTC and applicable platform policies.

5. Advertising authorizations

When you authorize a partnership ad or spark code, you permit the designated brand to run paid advertising in connection with your content and handle for the scope and duration you grant. You may revoke an authorization at any time through the Service, and you remain in control of your accounts and content. Use of connected advertising platforms (such as Meta and TikTok) is also subject to those platforms’ terms and policies.

6. Payments & payouts

Brands fund campaigns and payouts through our payment processor. Athletes facilitates payouts to athletes based on the agreed compensation. You are responsible for any taxes owed on amounts you receive. Fees, payment timing, and processing are subject to the terms presented in the Service and to our payment processor’s terms. Except where required by law, payments are non-refundable once a campaign obligation has been met.

7. Acceptable use

You agree not to:

  • Violate any law or third-party right, or post infringing or unlawful content.
  • Misrepresent your identity, audience, or engagement, or engage in fraud.
  • Circumvent, disable, or interfere with the security or integrity of the Service.
  • Access the Service through automated means except as expressly permitted, or scrape data without authorization.
  • Use the Service to harass, harm, or deceive others, or to distribute malware or spam.

8. Third-party services

The Service integrates with third-party platforms such as Meta (Facebook and Instagram), TikTok, Shopify, Stripe, and others. Your use of those services is governed by their own terms and privacy policies, and Athletes is not responsible for them. You authorize us to access and use data from connected accounts as described in our Privacy Policy.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by Athletes and its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights in the Service. You may not copy, modify, or create derivative works of the Service without our permission.

10. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any campaign will achieve particular results.

12. Limitation of liability

To the maximum extent permitted by law, Athletes will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to us in the twelve months before the claim, or one hundred US dollars (USD $100).

13. Indemnification

You agree to indemnify and hold harmless Athletes and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Governing law & disputes

These Terms are governed by the laws of the United States and the State of Utah, without regard to conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Utah, and you consent to their jurisdiction, except where applicable law provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
